Terms of Service

1. Acceptance of Terms

By creating an account on Helios Finance (“Helios,” “we,” “us,” or “our”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). You must explicitly accept these Terms by checking the agreement checkbox during the signup process before your account can be created.

Your electronic acceptance, along with the date and time of acceptance, constitutes a legally binding agreement between you and Helios Finance.

2. Description of Service

Helios Finance provides a personal finance dashboard that aggregates bank and brokerage account data, tracks investments, manages budgets, and offers spending analytics. The Service connects to your financial institutions via Plaid and displays market data via third-party sources.

Helios Finance is a data aggregation and visualization tool only. We are not a bank, broker-dealer, financial advisor, investment advisor, tax advisor, or any other licensed financial services provider.

3. NOT Financial Advice

Nothing in the Service constitutes financial, investment, tax, legal, or professional advice. All information displayed — including account balances, investment performance, market data, analytics, projections, FIRE calculations, and any other data — is provided for informational purposes only.

You should consult with a qualified financial advisor, tax professional, or other appropriate professional before making any financial decisions. Helios Finance is not responsible for any decisions you make based on information displayed in the Service.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELIOS FINANCE AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Without limiting the foregoing, Helios Finance is not responsible for, and assumes no liability whatsoever in connection with:

  • Data Accuracy — Financial data displayed in the Service (balances, transactions, investment values, market prices) is sourced from third parties (Plaid, Yahoo Finance, your financial institutions). We do not guarantee the accuracy, completeness, timeliness, or reliability of this data. Errors, delays, or discrepancies in data provided by third parties are beyond our control.
  • Investment Losses — Any losses, damages, or missed opportunities resulting from investment decisions made based on information displayed in the Service, including but not limited to portfolio performance data, market movers, trending tickers, analyst recommendations, or any other financial data.
  • Mismanagement of Finances — Any financial mismanagement, over-spending, under-saving, incorrect budgeting, or poor financial decisions made while using or relying on the Service.
  • Data Breaches & Security Incidents — While we implement industry-standard security measures, no system is 100% secure. In the event of a data breach, unauthorized access, hacking, or other security incident, our liability is limited to the extent required by applicable law. We are not liable for breaches originating from third-party providers (Plaid, Stripe, Google Cloud, your financial institution, or your own device).
  • Information Leakage — Any exposure, leakage, or unauthorized disclosure of your personal or financial information resulting from vulnerabilities in third-party services, your own device security, shared or compromised credentials, public Wi-Fi usage, browser extensions, malware, or any other factor outside our reasonable control.
  • Third-Party Service Failures — Outages, errors, or changes in Plaid, Stripe, Google Cloud, Yahoo Finance, or any other third-party service that impacts the availability, accuracy, or functionality of the Service.
  • Account Linking Issues — Failed, incorrect, or incomplete bank/brokerage account connections, synchronization failures, duplicate transactions, missing transactions, or incorrect balance reporting caused by Plaid or your financial institution.
  • Tax Consequences — Any tax liabilities, penalties, or consequences arising from reliance on information displayed in the Service, including incorrect categorization of transactions, cost basis calculations, or capital gains estimates.
  • Service Availability — Interruptions, downtime, or unavailability of the Service for any reason, including maintenance, server failures, or force majeure events.
  • Unauthorized Account Access — Unauthorized access to your Helios account resulting from weak passwords, shared credentials, compromised email accounts, social engineering, or any other factor within your control.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO HELIOS FINANCE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

5. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that any data displayed will be accurate, complete, or current.

6. Indemnification

You agree to indemnify, defend, and hold harmless Helios Finance and its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or inability to use the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property rights.
  • Any content or data you provide to the Service.
  • Any financial decisions you make based on information from the Service.

7. Subscription & Payment

  • Helios Finance offers monthly and yearly subscription plans billed via Stripe.
  • All fees are charged in advance and are non-refundable, except as required by law.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • We reserve the right to change pricing with 30 days' notice. Existing subscribers will be grandfathered at their current rate until the end of their billing period.

8. Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

Upon termination, your right to use the Service will immediately cease. We may delete your data in accordance with our Privacy Policy.

9. Electronic Consent

By checking the “I agree” checkbox during signup, you provide your electronic signature and consent to these Terms. We record:

  • The date and time of your acceptance (UTC).
  • The IP address from which you accepted.
  • The version of the Terms you accepted.

This electronic record has the same legal effect as a handwritten signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. §7001 et seq.) and the Uniform Electronic Transactions Act (UETA).

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

11. Changes to Terms

We may revise these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
